Welcome to Coventract. These Terms of Service ("Terms") form a binding agreement between you and Coventract ("Coventract", "we", "us", or "our") and govern your access to and use of the Coventract websites, applications, desktop app, and services (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Definitions
"You" and "your" mean the individual or organisation using the Service. "Contract" means any document you create, edit, sign, or manage using the Service. "Content" means anything you upload or generate, including contracts, templates, logos, images, and signatures. The Service includes contract creation, templates, electronic signatures, AI features, invoicing, team accounts, and access to independent legal reviewers.
2. Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract. When you register, you must provide accurate information and keep it current. You are responsible for your account, your credentials, and all activity under your account. We offer sign-in by email/password, Google, company single sign-on (SSO), and optional email login codes; you are responsible for keeping these secure. We may limit the number of devices signed in to one account, and accounts are for a single person or organisation and may not be shared. Notify us immediately of any unauthorised use.
3. The Service & Licence
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your own lawful business or personal purposes. We may update, change, or discontinue features at any time. The Service is provided on an "as is" and "as available" basis.
4. Your Content & Ownership
You retain ownership of your Content. You grant us a worldwide, non-exclusive licence to host, store, process, transmit, and display your Content solely to operate and provide the Service to you (for example, to generate PDFs, share a contract with a signer, or run a lawyer review). You are responsible for your Content and for ensuring you have the rights to use it and that it does not infringe anyone's rights or break the law.
5. Electronic Signatures
The Service lets you and other parties sign contracts electronically — by typing a name, drawing a signature, uploading an image, or (where enabled) using a national-ID method. An electronic signature is intended to express the signer's agreement to the relevant Contract. Coventract is not a party to your contracts and does not warrant that any Contract is legally valid, enforceable, or admissible in any particular jurisdiction. The legal effect of an electronic signature depends on the applicable law and the circumstances of each Contract. You are solely responsible for ensuring that your use of electronic signatures meets the requirements of the laws that apply to you and your counterparties (including, in Qatar, applicable electronic-transactions law).
6. AI Features
The Service uses artificial intelligence to suggest and draft clauses, convert speech to a contract, explain terms, and answer questions. AI outputs are suggestions and general information only — they are not legal advice. They may be inaccurate or incomplete. You must review, edit, and verify any AI output before relying on it. To provide these features, the text and inputs you submit may be processed by our AI provider (see the Privacy Policy). We disclaim liability arising from your use of AI outputs.
7. Lawyer Review (Independent Professionals)
The Service may let you request a paid review of a Contract by a legal professional. Those professionals are independent third parties — not our employees or agents — and Coventract is a technology platform, not a law firm, and does not provide legal advice. Any advice, review, or opinion is provided by the reviewer, not by Coventract. We are not responsible for the reviewer's work, and any professional relationship is between you and the reviewer. Fees, commissions, and payout terms for reviews are as presented in the Service.
8. Invoicing & Getting Paid
The Service lets you send invoices to, and collect payment from, your own clients (for example, via PayPal or a payment link you provide). Those transactions are solely between you and your client; Coventract is not a party to them, does not hold your funds, and is not responsible for them. You are responsible for the accuracy of your invoices, for your relationship with your client, and for any taxes. Payments are handled by the applicable payment provider under its own terms.
9. Payments & Subscriptions
Paid plans and contract credits are billed through our payment provider (PayPal). Subscriptions renew automatically for the same period unless cancelled, and you authorise recurring charges until you cancel. We may change prices with notice; changes apply to the next billing period. You are responsible for applicable taxes. Any founder or early-access pricing applies on the terms under which it was offered.
10. Cancellation & Refunds
You may cancel a subscription at any time. When you cancel, your plan stays active until the end of the period you have already paid for; after that, your account moves to the free tier and paid features are no longer available. Your data is retained unless you delete your account. Fees already paid are non-refundable except where required by law or expressly stated. Invoiced enterprise arrangements are governed by their own written terms.
11. Acceptable Use
You agree not to use the Service to: create or facilitate unlawful, fraudulent, or infringing contracts; upload malware or unlawful content; infringe intellectual-property or privacy rights; harass or deceive others; scrape, reverse-engineer, or copy the Service; or attempt to bypass security, quotas, or access controls. Uploaded media must be images within the permitted types and size limits. We may remove Content or suspend accounts that violate these rules.
12. Intellectual Property
The Service and its original content, features, branding, templates, designs, and functionality (excluding your Content) are and remain the exclusive property of Coventract and its licensors. Our trademarks and branding may not be used without our prior written consent. If you send us feedback, you grant us a licence to use it without restriction.
13. Third-Party Services
The Service relies on third parties such as Google, Firebase/Google Cloud, our AI provider, our email provider, and PayPal. Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions. Links to third-party sites are provided for convenience and are not endorsements.
14. Termination & Suspension
We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. You may stop using the Service and delete your account at any time. When your account is deleted, we permanently delete your profile, your contracts, your uploaded media, and your authentication record, subject to any retention required by law (see the Privacy Policy). Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnities, and governing law) will survive.
15. Disclaimers & Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind. Coventract is not a law firm and does not provide legal services; templates, AI outputs, and lawyer-review features are not a substitute for advice from your own qualified lawyer. To the maximum extent permitted by law, Coventract and its owners, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of, or inability to use, the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim.
16. Indemnification
You agree to indemnify and hold harmless Coventract and its owners, directors, employees, and affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your Content, your contracts, your use of the Service, or your breach of these Terms.
17. Governing Law, Jurisdiction & Language
These Terms are governed by the laws of the State of Qatar, without regard to conflict-of-laws rules. You agree that the competent courts of the State of Qatar have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory rights available to you under the law of your place of residence. These Terms are provided in English and Arabic; in the event of any conflict or inconsistency, the Arabic version prevails.
18. Changes to These Terms
We may update these Terms from time to time. We will post the revised Terms on this page and update the effective date. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
